These Terms constitute a legally binding agreement between you and AI Gen Partners. We reserve the right to update these Terms at any time, and your continued use of the Site after any changes constitutes your acceptance.

AI Gen Partners is an AI automation agency that builds and deploys custom AI systems for businesses. Our services include, but are not limited to:

Custom AI agent development and deployment.

Operations and back-office workflow automation.

Content and marketing automation.

Strategy consulting and implementation advisory.

The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate written agreement or statement of work signed by both parties. These Terms apply in addition to any such agreements.

You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment. Prohibited uses include:

Engaging in any conduct that is fraudulent, deceptive, or misleading.

Attempting to gain unauthorized access to any part of the Site or its related systems.

AI Gen Partners retains all intellectual property rights in any deliverables, systems, code, workflows, and documentation produced under a services engagement unless otherwise expressly agreed in writing. Upon full payment, clients receive a non-exclusive, perpetual license to use the deliverables for their internal business purposes.

THE SITE AND ALL INFORMATION, CONTENT, AND SERVICES PROVIDED ARE OFFERED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

AI Gen Partners does not warrant that:

The Site will be uninterrupted, error-free, or free of viruses or other harmful components.

Any results, outcomes, or projections mentioned on the Site (including ROI estimates and case study results) will be achieved by any particular client. Results vary based on individual business conditions, implementation quality, and market factors.

Information on the Site is current, complete, or accurate at all times.

TO THE FULLEST EXTENT PERMITTED BY LAW, AI GEN PARTNERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI GEN PARTNERS AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or services.

Loss of profits, revenue, data, or business opportunities.

Any damages arising from reliance on information presented on the Site.

In no event shall AI Gen Partners' total liability to you for all claims arising from use of the Site or services exceed the total amount paid by you to AI Gen Partners in the three (3) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

The Site may contain links to third-party websites or integrate with third-party services (such as Calendly for scheduling). These links are provided for convenience only. AI Gen Partners does not endorse, control, or take responsibility for the content, privacy practices, or availability of any third-party websites.

In the course of a services engagement, both parties may share confidential business information. Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law.

Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party without restriction.

Payment terms for services will be outlined in the applicable proposal or statement of work. Unless otherwise agreed:

Invoices are due within 14 days of issuance.

Late payments may incur interest at a rate of 1.5% per month or the maximum permitted by law, whichever is lower.

AI Gen Partners reserves the right to suspend or terminate services for non-payment after providing written notice.

All fees are non-refundable unless otherwise specified in writing.

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which AI Gen Partners is registered, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

You waive any right to participate in a class action lawsuit or class-wide arbitration against AI Gen Partners.

Either party may terminate a services engagement with 30 days' written notice. AI Gen Partners may terminate immediately if you breach these Terms or any applicable service agreement.

Upon termination, your right to use the Site remains subject to these Terms. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.
